Terms of Service

1. Agreement to Terms

By accessing or using the Selmorth AI platform, APIs, dashboards, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Services

Selmorth AI provides maritime intelligence software, including predictive analytics, vessel tracking integrations, port congestion forecasting, route optimization tools, and disruption monitoring capabilities. Services are delivered via web-based interfaces, API endpoints, and enterprise integrations as specified in your order form or subscription agreement.

3. Account Registration

You must provide accurate and complete registration information and maintain the security of your account credentials. You are responsible for all activities that occur under your account. Notify Selmorth AI immediately of any unauthorized access or security breach.

4. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the Services
• Resell, sublicense, or redistribute platform data without written authorization
• Use the Services for unlawful purposes or in violation of applicable maritime regulations
• Interfere with or disrupt the integrity or performance of the platform
• Scrape or systematically extract data beyond permitted API rate limits

5. Data and Intellectual Property

Selmorth AI retains all rights to the platform, algorithms, models, and aggregated intelligence outputs. You retain ownership of data you upload. By using the Services, you grant Selmorth AI a limited license to process your data solely to provide and improve the Services, subject to our Privacy Policy.

6. Subscription and Payment

Enterprise subscriptions are billed according to the pricing tier and contract terms agreed upon at purchase. Fees are non-refundable except as required by law or explicitly stated in your agreement. Selmorth AI may modify pricing for renewal periods with 60 days' written notice.

7. Service Level and Availability

Selmorth AI targets 99.9% uptime for production environments. Scheduled maintenance will be communicated in advance. Specific SLA commitments are defined in enterprise agreements and may include service credits for qualifying downtime.

8. Disclaimers

Maritime intelligence outputs are predictive in nature and provided "as is." Selmorth AI does not guarantee the accuracy of forecasts, and outputs should not be the sole basis for navigational or financial decisions. You assume responsibility for validating insights within your operational context.

9. Limitation of Liability

To the maximum extent permitted by law, Selmorth AI's total liability arising from these Terms shall not exceed the fees paid by you in the twelve months preceding the claim. Selmorth AI shall not be liable for indirect, incidental, or consequential damages including lost profits or cargo delays.

10. Termination

Either party may terminate an enterprise agreement according to its contract terms. Selmorth AI may suspend access immediately for material breach of these Terms. Upon termination, your right to access the Services ceases, and data export provisions in your agreement will apply.

11. Governing Law

These Terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of London, unless otherwise specified in an enterprise agreement.
